Project Overview

The Client, is a hyper-scale and wholesale data centre platform provider for cloud, content and large enterprise customers across India.

The data centre, with its strategic location, will expand the Client’s footprint in India and enhance its global strategic growth plans.

The data centre will be delivered in a modular fashion, utilising state-of-the-art construction methodologies and modern data centre designs. While the data centre is designed with the hyper-scale data centre in mind, the project is developed to meet the needs of both the hyper scalers (Anchor Tenants) and wholesale customers. 

 

TBH’s Role

TBH was engaged as the Lenders’ Technical Advisor (the “LTA”) to provide an independent technical due diligence report for the purposes of facilitating the securing of debt for the project.

TBH’s scope of works was delivered in phases.  The initial phase of work was the preparation of a Preliminary Technical Assessment Report, undertaken during the early stages of the development lifecycle, in which high risk items were identified to assess overall feasibility.

Phase 2 of the Project involved the preparation of a detailed Lenders Technical Advisory (LTA) report, to provide the Lenders with the full exposure of the project as required. The LTA report would be extended to the lenders and equity parties via agreed reliance language in the report and/or a Reliance Agreement. Phase 3 of the Project occurs during the construction phase, and TBH would perform progress monitoring and reporting, and provide advice to the Lenders.

As part of its role, TBH was briefed to identify any significant concerns following a review of the key project details, including:

  • Site parameters and conditions
  • Review of construction timeframe and methodology
  • Experience and capabilities of the key project participants
  • Project budget, validation viainternal benchmarking data
  • Assessment of the financial model and preparation of a drawdown schedule for the lenders
  • Review of risks associated with construction completion of the data centre
  • Technical review of contract documentation
  • Assessment of expansion capacity feasibility
